Member acknowledges that it does not acquire any ownership rights by downloading copyrighted material. Auction-Warehouse.com does charge optional fees for listing items for sale through the site and when you list an item you have an opportunity to select these optional fees such as featured homepage, category page, bold and color fees. Unless otherwise stated, all fees are quoted in U.S. Dollars. You are responsible for paying all fees associated with using our service and the Site and all applicable taxes. There are never any commission fees after the sale. General Violations: =================== - Invalid or Fraudulent Registration Information - Any Abuse of Auction-Warehouse.com's Feedback/Ratings, Discussion Board and Live Chat Forums - Fraudulent Selling or Bidding Activity - Deadbeat Selling and Bidding Activity - Multiple Accounts - Participation by Minors - Abuse of the Auction-Warehouse.com Privacy Policy Selling Violations: =================== - Listing of Counterfit Items for Sale, represented either as real or counterfit - Listing of Illegal Items for Sale - Misrepresentation of Items for Sale - Listings Intentionally Mis-Categorized - Multiple, Identical Listings for One Item - Multiple, Identical Listings Posted within One or Several Categories - Bid Shilling (via a third-party bidder) - Mail Fraud (failure to ship a paid-for item) - Non-Payment of Auction-Warehouse.com Selling Fees - Selling activity conducted on Auction-Warehouse.com which promotes and/or completes off-line sales to avoid Selling Fees Bidding and Buying Violations: ============================== - Repeated Bid Retraction Requests - Bid Shilling - Colluding With Others - Deadbeat Bidding (not paying after winning an auction) Termination of Auctions and Store Items ======================================= Auction-Warehouse.com reserves the right to terminate, without notice, auctions and store items that: (1) are overtly inflammatory, controversial, or offensive to our members; (2) are multiple, identical listings posted within a category or cross-posted in more than one additional category; (3) are intentionally mis-categorized; (4) contain advertisements that wholly or mainly intended to divert buyers away from the Auction-Warehouse.com website; (5) display evidence of fraudulent listing information or bidding activity; (6) are counterfeit merchandise (if users counterfit merchandise is placed for sale the user information maybe given to trademark owners per Auction-Warehouse.com discretion and without prior notice) or (7) violate any of the rules, guidelines, Terms and Conditions of this service. Other Limitations ================= Auction-Warehouse.com retains the right, at Auction-Warehouse.com's sole discretion, to determine whether or not a member's conduct is consistent with the letter and spirit of these Terms and Conditions. Member Conduct ============== Each member is solely responsible for the content of his or her transmissions through the site. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Release and Indemnification =========================== Member hereby waives, releases, forgives, discharges and relinquishes any and all claims that Member now has or may have against Auction-Warehouse.com, WIP Consulting Inc., their affiliates, subsidiaries, parents, shareholders, directors, officers, employees, agents and representatives which are connected with, arise out of, relate to or are incidental to any Auction-Warehouse.com transaction. Member hereby agrees to indemnify, defend and hold Auction-Warehouse.com, WIP Consulting Inc., their affiliates, subsidiaries, parents, shareholders, directors, officers, employees, agents and representatives harmless from and against any and all claims, loss, damage, tax, liability and/or expense that may be incurred by Auction-Warehouse.com, WIP Consulting Inc., their affiliates, subsidiaries, parents, shareholders, directors, officers, employees, agents and representatives arising out of or in connection with the performance of its duties as described in this Agreement (except as caused by its gross negligence or willful misconduct) including the legal costs, fees and expenses of defending itself against any claim by any or all of the parties to any Auction-Warehouse.com transaction and/or by any other person and/or as a result of the Member taking any action or refraining from taking any action or instituting or defending any action or legal proceeding. Member further agrees to indemnify and hold Auction-Warehouse.com, WIP Consulting Inc., their affiliates, subsidiaries, parents, shareholders, directors, officers, employees, agents and representatives harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Member's use of the Service, the violation of these rules, guidelines, terms and conditions by Member, or the infringement by Member, or other user of the Service using Member's computer, of any intellectual property or other right of any person or entity.
